1. Independent Contractor Status

You acknowledge and agree that you are providing services as an independent contractor, not as an employee, agent, joint venturer, or partner of KodaGO. As an independent contractor, you:

• Are solely responsible for your own income taxes, CPP contributions, and other applicable deductions
• Are not entitled to employment benefits, workers' compensation, or unemployment insurance from KodaGO
• Have the freedom to set your own schedule and choose which rides to accept
• Are responsible for all costs related to operating your vehicle

2. Eligibility Requirements

To be eligible and remain eligible as a KodaGO driver, you must at all times:

• Hold a valid Manitoba driver's licence (Class 5 or higher) with no major suspensions in the past 3 years
• Be at least 21 years of age
• Own or have lawful access to a vehicle meeting KodaGO's vehicle standards
• Maintain valid vehicle registration and standard auto insurance as required by Manitoba law
• Pass KodaGO's background document verification process
• Have no criminal convictions related to violence, sexual offences, or fraud within the past 7 years

3. Vehicle Requirements

Your vehicle must meet the following standards:

• Model year 2010 or newer
• 4-door vehicle (sedans, SUVs, and minivans are accepted)
• Seating for at least 2 passengers (excluding the driver)
• Fully operational seatbelts for all passengers
• Valid Manitoba registration and safety inspection
• Clean, well-maintained interior and exterior
• Working air conditioning and heating

4. Driver Obligations

While operating on the KodaGO platform, you agree to:

• Comply with all applicable traffic laws and regulations
• Never drive under the influence of alcohol, drugs, or any impairing substances
• Maintain a professional, courteous, and respectful demeanor at all times
• Provide accurate route and timing information to passengers
• Not use a handheld mobile device while driving
• Ensure all passengers are safely seated and seatbelted before moving
• Not carry unauthorized passengers or exceed vehicle seating capacity
• Not smoke or vape in your vehicle during rides
• Ensure your vehicle is clean and free of offensive odours before accepting rides
• Immediately report any accidents or safety incidents to KodaGO

5. Insurance Obligations

You are responsible for maintaining adequate insurance coverage for all ride-sharing activities. This includes:

• Minimum Manitoba Public Insurance (MPI) basic Autopac coverage as required by law
• You are strongly encouraged to notify your insurer that you are participating in ride-sharing activities, as standard personal auto policies may not cover commercial use
• KodaGO does not provide any insurance coverage for drivers or passengers
• You accept full responsibility for any gap in insurance coverage during ride-sharing activities

6. Pricing and Payments

As a driver, you agree to:

• Set fair, transparent prices for your rides and not change them after a booking is confirmed
• Only charge passengers the amount agreed upon at booking time
• Pay KodaGO's applicable platform/subscription fees to access driver features
• Not solicit cash tips that are not agreed upon by the passenger in advance
• Declare all ride income for income tax purposes as required by the Canada Revenue Agency (CRA)

7. Non-Discrimination Policy

You agree not to refuse service or discriminate against any passenger on the basis of race, color, national origin, religion, sex, gender identity, sexual orientation, disability, age, or any other characteristic protected under Canadian Human Rights legislation. Violations of this policy will result in immediate account suspension and may be reported to the relevant authorities.

8. Safety and Incident Reporting

In the event of an accident or safety incident, you agree to:

• Ensure the safety and wellbeing of all passengers immediately
• Call emergency services (911) if required
• Exchange insurance information with any other involved parties
• Report the incident to KodaGO within 24 hours via the platform
• Cooperate fully with any investigation by KodaGO or law enforcement

9. Suspension and Termination

KodaGO reserves the right to suspend or permanently remove your driver account at any time, including but not limited to: violations of this Agreement, low ratings, safety incidents, fraudulent activity, failure to maintain required documentation, or complaints from passengers. Decisions regarding account suspension are at KodaGO's sole discretion.

10. Governing Law

This Agreement is governed by the laws of the Province of Manitoba, Canada. Any disputes arising from this Agreement shall be subject to the exclusive jurisdiction of the courts of Manitoba.
