1. Nature of the Platform

KodaGO operates exclusively as a technology intermediary platform that connects independent drivers and passengers for ride-sharing arrangements. KodaGO:

• Is not a transportation company or carrier
• Does not employ, control, or supervise drivers
• Does not own or operate any vehicles
• Does not guarantee the safety, reliability, or quality of any ride
• Acts solely as a communication and scheduling tool between users

2. Voluntary Assumption of Risk

By using KodaGO, you voluntarily and knowingly assume all risks associated with participating in ride-sharing activities, including but not limited to:

• Risk of personal injury, disability, or death arising from a vehicle accident
• Risk of property damage or loss of personal belongings
• Risk of encountering unsafe road or weather conditions
• Risk arising from the conduct, acts, or omissions of other platform users
• Risk of delays, cancellations, or changes to ride arrangements
• Risk of financial loss from failed or disputed transactions

You acknowledge that these risks are inherent to ride-sharing and accept them willingly as a condition of using the platform.

3. Release of Claims

To the fullest extent permitted under the laws of Manitoba and Canada, you hereby release, waive, discharge, and covenant not to sue KodaGO Inc., its officers, directors, employees, agents, affiliates, successors, and assigns (collectively "Released Parties") from any and all claims, demands, actions, causes of action, liabilities, damages, losses, or costs (including legal fees) arising out of or related to:

• Any ride arranged through the KodaGO platform
• Any accident, injury, or damage occurring during a ride
• Any act or omission of a driver or passenger on the platform
• Any failure of a driver or passenger to comply with applicable laws
• Any dispute between a driver and passenger over fare, service, or conduct
• Any reliance on information provided through the platform

4. Indemnification

You agree to indemnify and hold harmless KodaGO and the Released Parties from and against any claims, liabilities, damages, losses, and expenses — including reasonable legal fees — arising out of or in connection with: (a) your use of the platform; (b) your violation of these Terms or any applicable law; (c) your interaction with any other user of the platform; or (d) any content you submit to the platform that infringes or misappropriates any third-party rights.

5. Limitation of Liability

To the maximum extent permitted by law, KodaGO's total aggregate liability to you — for any and all claims arising out of or related to this Waiver or your use of the platform — shall not exceed the greater of:

• CAD $100.00, or
• The total fees paid by you to KodaGO in the three (3) months preceding the claim

KodaGO shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including lost profits, loss of data, or loss of goodwill.

6. No Guarantee of User Vetting

While KodaGO performs document-based verification of drivers (licence, insurance, vehicle registration), we do not conduct criminal background checks, driving record checks, or real-time monitoring of drivers. Verification of submitted documents does not constitute a guarantee of a driver's fitness, character, or safety. You acknowledge this limitation and accept the associated risk voluntarily.

7. Third-Party Conduct

KodaGO is not responsible or liable for the acts, omissions, statements, or conduct of any driver, passenger, or third party. Any disputes between users are to be resolved directly between the parties involved. KodaGO may, at its discretion, assist in dispute resolution but is under no obligation to do so and assumes no liability in connection with such disputes.

8. Severability

If any provision of this Waiver is found to be unenforceable or invalid under applicable law, the remaining provisions shall continue in full force and effect. The unenforceable provision shall be modified to the minimum extent necessary to make it enforceable.

9. Governing Law

This Waiver is governed by and construed in accordance with the laws of the Province of Manitoba and the federal laws of Canada applicable therein. Any legal action arising under this Waiver shall be commenced in the courts of Manitoba.
