Delivery Terms

1. Service Agreement

These terms govern the relationship between KodaGO ("we", "us", "our") and businesses ("Vendor", "you", "your") using the KodaGO Delivery Network to facilitate last-mile delivery of goods to customers. By submitting a delivery request through the KodaGO platform, you agree to be bound by these terms. KodaGO acts as a technology platform connecting Vendors with KodaGO drivers for delivery services. KodaGO is not a party to the transaction between the Vendor and its customer for the sale of goods.

2. Business Obligations

Vendors must ensure timely preparation of orders for pickup. All order information submitted to KodaGO must be accurate and complete, including delivery address, contact information, and any special handling instructions. Vendors are responsible for the safe and appropriate packaging of all goods prior to driver pickup. Vendors must comply with all applicable laws and regulations, including food safety, health, and liquor licensing requirements where applicable. Vendors must not submit orders for illegal goods or items prohibited by KodaGO policy.

3. Driver Obligations

KodaGO drivers are responsible for the safe transport and delivery of goods from the Vendor location to the customer delivery address. Drivers must verify the order contents match the submitted order details at pickup. Where age verification, signature, or PIN verification is required, the driver must complete the verification before releasing the order. Drivers must provide proof of delivery, which may include a photo, GPS timestamp, or customer confirmation. Drivers must not open or tamper with Vendor packaging.

4. Payment Terms

Delivery fees are calculated based on distance, package size, service zone, preparation time, and special handling requirements. Vendors will see a delivery fee quote before confirming each order. KodaGO charges a commission on each delivery, as set out in the Vendor agreement. Vendor payouts are processed according to the agreed settlement schedule. Refunds for failed or cancelled deliveries are subject to KodaGO's refund policy. All fees are in Canadian Dollars (CAD) unless otherwise stated.

5. Data Privacy

KodaGO collects and processes business information, customer delivery information, and driver location data for the purpose of providing delivery services. Each Vendor only has access to their own orders, customers, and business data. Customer personal information is privacy-protected and delivery tracking links expire after delivery is completed. 6. Liability

KodaGO provides a technology platform to facilitate delivery services and is not liable for the quality, safety, or legality of goods delivered. Vendors retain responsibility for the goods they sell and deliver through the platform. KodaGO's liability is limited to the delivery fee charged for the affected order. KodaGO is not liable for indirect, incidental, or consequential damages arising from delivery services. Drivers are independent contractors, not employees of KodaGO.

7. Termination

Either party may terminate this agreement at any time by providing written notice. KodaGO may immediately suspend or terminate a Vendor's access to the platform for violation of these terms, fraudulent activity, or repeated service failures. Upon termination, Vendors will receive payment for all completed deliveries prior to the termination date. All outstanding fees and commissions become immediately due upon termination.

8. Modifications

KodaGO reserves the right to modify these terms at any time. Vendors will be notified of material changes at least 30 days before they take effect. Continued use of the KodaGO Delivery Network after the effective date of any modification constitutes acceptance of the updated terms. If you do not agree to the modified terms, you must cease using the delivery services.
